Terms of Service

These Terms of Service (“Terms”) are a legal agreement between Azarix AI(“we,” “us,” “our”) and you, the customer (“you,” “Customer”). By clicking “I agree,” checking a box during signup, or using the Azarix Voice service, you accept these Terms in full.
If you are accepting on behalf of a business, you represent that you have authority to bind that business to these Terms. You must be at least 18 years old to use this service.
1. Description of Service
Azarix Voice is a subscription SaaS product that provides an AI-powered voice receptionist for your business phone line. The service:
- Answers inbound calls to your forwarded business number 24/7
- Conducts natural-language conversations to book appointments, qualify leads, or screen callers
- Sends text confirmations to callers and call summaries to you
- Integrates with supported calendar platforms (e.g., Google Calendar) when configured
What we do not guarantee:
- 100% uptime (see Section 10 — Service Availability)
- That every call will be handled successfully without error
- Specific outcomes (booked jobs, qualified leads) — the service facilitates conversations, but results depend on your business setup and your callers’ behavior
- That the AI will handle every possible caller scenario correctly, especially unusual, abusive, or ambiguous interactions
2. Account Registration
You must create an account with accurate, current information. You are responsible for:
- Keeping your login credentials secure
- All activity that occurs under your account
- Promptly notifying us at support@azarix.ai if you suspect unauthorized access
Sharing account credentials with other businesses or using one account to serve multiple distinct businesses is prohibited without a written agreement with us.
3. Plans and Pricing

Overage:Additional minutes beyond your plan’s included minutes are billed at a per-minute rate at the end of your billing cycle. Contact us for current overage rates.
Annual billing: 12-month prepayment receives a 20% discount. Annual subscriptions are non-refundable except as required by applicable law.
Free trial: New accounts receive 30 minutes of included call time at no charge. No credit card required. Trial minutes expire 30 days after account creation and are not carried over on conversion to a paid plan.
Beta pricing:Current pricing is subject to change. We will provide 30 days’ written notice before any price increase takes effect for existing subscribers. All prices are in Canadian dollars (CAD).
4. Billing and Payment
Subscriptions renew automatically on the same date each month (or year for annual plans) until cancelled. You authorize us to charge your payment method on file for all recurring and overage charges.
Payments are processed by Stripe, Inc. We do not store your full credit card number. If a payment fails, we will retry up to 3 times over 7 days. If payment remains unsuccessful, your account will be suspended. Suspended accounts retain data for 30 days, after which the account may be terminated and data deleted per Section 13.
We will notify you by email at least 30 days before any price increase. Continued use after the effective date constitutes acceptance of the new price.
5. Cancellation
You may cancel your subscription at any time from your dashboard or by emailing support@azarix.ai.
- Monthly plans: Cancellation takes effect at the end of the current billing period. No prorated refunds for partial months.
- Annual plans: Cancellation takes effect at the end of the annual term. No refunds for unused months.
- After cancellation: Your data is retained for 30 days, then permanently deleted per Section 13.
6. Acceptable Use
You may use Azarix Voice only for lawful business purposes. You must not use the service to:
- Violate any applicable law or regulation, including CASL, PIPEDA, or Canada’s Competition Act
- Impersonate a human where the caller explicitly asks whether they are speaking with a human — Azarix Voice includes an AI disclosure at call opening; you must not disable or modify this disclosure
- Conduct or facilitate telemarketing, robocalling, or outbound calling campaigns — the service is designed for inbound calls only
- Record calls without the caller’s knowledge — Azarix Voice includes a recording disclosure at call opening; you must not disable this
- Transmit calls involving health information (PHIPA-regulated) without appropriate safeguards
- Handle calls where the primary purpose is debt collection without ensuring compliance with applicable regulations
- Reverse-engineer, scrape, or attempt to access our systems beyond your account
- Use the service in a way that imposes an unreasonable load on our infrastructure
You are responsible for ensuring your use of Azarix Voice complies with applicable laws in all jurisdictions where your business operates and where your callers are located — including CASL consent requirements and provincial privacy law.
7. AI Disclosure Requirement
You must not disable or modify the AI and recording disclosures in the call opening. These disclosures include:
- “You’re speaking with an AI assistant from [your business name], powered by Azarix.”
- “This call may be recorded for quality purposes.”
These disclosures are required for compliance with PIPEDA and applicable provincial privacy law. You accept full liability for any regulatory consequence arising from disabling these disclosures against our instructions.
8. Your Data
You own your data. All data you submit to the service — including call recordings, transcripts, booking data, and business configuration — remains your property. We claim no ownership over it.
You grant us a limited, non-exclusive license to process and store your data solely to provide the service to you. We do not use your data to train AI models without your explicit consent.
You may export your call summaries and booking data from your dashboard at any time in CSV format. Upon account termination, we retain your data for 30 days to allow export, after which it is permanently deleted.
We use third-party sub-processors to provide the service (Twilio, AI/voice providers, Stripe, Google). Data processed by sub-processors may be subject to US law. See our Privacy Policy for details.
9. Intellectual Property
Azarix AI owns all rights to the Azarix Voice platform, software, algorithms, brand, and associated intellectual property. You receive a limited, non-exclusive, non-transferable license to use the service for your own business during your subscription.
You retain all rights to your business name, branding, and any content you provide to configure the service.
If you provide feedback or suggestions about the service, you grant us an irrevocable, royalty-free right to use that feedback without obligation to you.
10. Service Availability
We aim for high availability but do not guarantee uninterrupted service. Azarix Voice is not an emergency dispatch service. Do not rely on it as the sole method of handling life-safety calls.
Service availability depends in part on third-party providers (Twilio, AI providers). We are not liable for outages caused by third-party failures beyond our reasonable control. No uptime SLA applies during the beta phase.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE CANADIAN LAW:
Cap on liability: Our total liability for any claim arising out of these Terms or the service is limited to the fees you paid us in the 12 months before the claim arose.
Exclusion of consequential damages: We are not liable for any indirect, incidental, consequential, special, or punitive damages, including lost revenue, missed business opportunities, or lost data — even if we were advised of the possibility of such damages.
No liability for AI errors: We are not liable for incorrect information provided by the AI to your callers, calls that are mishandled or dropped, or bookings made with incorrect details due to caller error or AI misunderstanding.
You are responsible for reviewing call recordings and summaries and for maintaining a human fallback for calls the AI cannot handle correctly. Some Canadian provinces limit exclusion of liability in consumer contracts; these limitations apply to the maximum extent permitted by your local law.
12. Indemnification
You agree to defend, indemnify, and hold Azarix AI, its officers, directors, employees, and contractors harmless from any claim, damage, loss, or expense (including reasonable legal fees) arising from:
- Your violation of these Terms or any applicable law
- Calls handled on your behalf that violate CASL, PIPEDA, or any other applicable regulation
- Your disabling or modification of AI or recording disclosures
- Third-party claims arising from your use of the service
13. Termination
By you: Cancel your account at any time per Section 5.
By us: We may suspend or terminate your account with written notice if you materially breach these Terms and fail to cure within 14 days, engage in prohibited activities under Section 6, or remain in arrears after 7 days. We may terminate immediately without notice for serious violations including illegal activity or actions that threaten the security of our infrastructure.
On termination, your access ends immediately. Your data is retained for 30 days for retrieval, then permanently deleted. Sections 8, 9, 11, 12, 14, and 16 survive termination.
14. Dispute Resolution
These Terms are governed by the laws of Canada and applicable provincial law. Before filing any legal action, both parties agree to attempt good-faith resolution by email for at least 30 days. To the maximum extent permitted by applicable law, you waive the right to participate in class action proceedings against Azarix AI.
15. Modifications to These Terms
We will notify you by email at least 30 days before material changes take effect. Your continued use of the service after the effective date constitutes acceptance of the updated Terms. If you do not accept the new Terms, you may cancel your account before the effective date and receive a prorated refund of any prepaid fees for the period after the effective date (monthly plans only).
16. Miscellaneous
- Entire agreement: These Terms, together with our Privacy Policy and any order confirmation, constitute the entire agreement between you and Azarix AI with respect to the service.
- Severability: If any provision is found unenforceable, it will be modified to the minimum extent necessary, and the remaining provisions continue in full force.
- Assignment: You may not assign your rights without our written consent. We may assign ours in connection with a merger, acquisition, or sale of assets.
- Force majeure: We are not liable for failure or delay due to circumstances beyond our reasonable control (natural disasters, internet outages, government action, third-party provider failures).
- Language: The parties have requested that these Terms be drafted in English. Les parties ont demandé que ces conditions soient rédigées en anglais.
